THIS EXCLUSIVE DISTRIBUTION AGREEMENT (this “Agreement” or this “Exclusive Distribution Agreement) is entered into effective as of [02/_/2021] (the “Effective Date”) by and between [ABC RUGS KILIMS INC] (www.zandifashions.com) (“Supplier”) and [Client-Company] (“Distributor”).
The parties agree as follows:

Appointment

1. Subject to the terms and conditions of this Agreement, Supplier appoints Distributor, and Distributor accepts such appointment and agrees to act as Supplier’s exclusive distributor of the Supplier Products (defined below) within the geographical territory of the United States of America, Canada, Pakistan defined as follows (the “Territory”):
2. Distributor agrees to exercise its best efforts to
   • promote the sale of and obtain orders for the Supplier Products in the Territory, via the website created
   • abide by Supplier’s policies (not necessarily meaning to buy from the Supplier) and procedures with regard to the purchase, sale, and support of Supplier Products;
   • conduct its business in a manner that reflects favorably at all times on the Supplier Products and the good name, goodwill, and reputation of Supplier or the Affiliate. Distributor acknowledges and agrees that it has no rights or claims of any type to the Supplier Products, or any aspect thereof, except such rights as are created by this Exclusive Distribution Agreement. Distributor agrees that it shall not and is not authorized to promote, resell, deliver, install, service, or otherwise support the Supplier Products outside of the Territory.

1. Distributor agrees to exercise its best efforts to

   • conduct its business in a manner that reflects favorably at all times on the Supplier Products and the good name, goodwill, and reputation of Supplier or the Affiliate. Distributor acknowledges and agrees that it has no rights or claims of any type to the Supplier Products, or any aspect thereof, except such rights as are created by this Exclusive Distribution Agreement. Distributor agrees that it shall not and is not authorized to promote, resell, deliver, install, service, or otherwise support the Supplier Products outside of the Territory.

Products and Pricing

Supplier Products consist of the items or classifications of items listed in this Section below, and the purchase price or license fee to Distributor of all Supplier Products delivered pursuant to this Agreement shall be as set forth in this Section below.

• The minimum investment that is acceptable is $10,000 having considerably good returns in the foreseeable future is required from the Distributor.
• The Distributor must have a good understanding of the functions of the internet, social media advertising to be able to receive good commissions
• Investment Required: $25,000 (Early Bird offer $10,000 lasts till 01.01.2022) 100% ITEX 

Relationship of the Parties

The distributor is an independent contractor and not an employee, agent, partner, or joint venture with or of Supplier. Neither Distributor nor Supplier shall have any right to enter into any contracts or commitments in the name of, or on behalf of the other or to bind the other in any respect whatsoever, except insofar as is allowed by this Agreement. Other relationship obligations include:

• Distributor may contact potential customers via email, text & phone call
• The distributor must invest in boosts, marketing, advertisement, and on all social media & other search engine platforms to make the sale.

1. The supplier supports a brand-new website with supplier domain, with the same items and offers as Distributor website has, the distributor can cater to change the design & domain name to the likes of the Supplier.
2. The Supplier will host the Distributor’s website as the same items on (www.zandifashions.com)
3. The Supplier will do advertisements and other marketing arrangements to over 1,500,000 buyers in a bi-weekly manner as a mass communication to all USA
4. The supplier will provide a new domain for each different Distributor.
5. The supplier will host for each different Distributor domain
6. The supplier will have the same items on (www.zandifashions.com) on the Distributor’s domain website
7. At any given time that the Distributor sells any items from the website, The Supplier shall receive will receive what they sold, and the Distributor will send the items to the clients with the Domain name invoice, commissions shall be paid in the manner of 14 days from the date of issue of Invoice.
8. The commission schedule is as follows:
   • The minimum monthly sale of $2,000 will amount to 25% commissions.
   • If the Distributor sells over $50,000 annually, that will amount to an additional 5% commission.
   • If the Distributor sells over $100,000 annually, that will amount to an additional 10% commission.

ITEX Clients will Pay only $1250 not on ITEX for New Domain - New Website - New Hosting - Upload Inventory
